How to establish a business in Serbia

 

HOW TO ESTABLISH A BUSINESS IN SERBIA

The procedure to register a business is the same for foreign businesses and domestic businesses.   Businesses are established with the Agency for Business Registers under a procedure that complies with world standards.   Within the region, the agency has its offices in Valjevo and Sabac.

 

            The legal forms of business associations that can be registered are:

  • Partnership (two or more owners);
  • Limited partnership – LP;
  • Limited Liability Company (up to 50 founders) – LLC;
  • Joint Stock Company – JSC.

 

 

The registration process consists of the folowing 4 steps:

 

Step I

The following six documents need to be submitted together with a business registration form:

  • Proof of identity (a photocopy of ID card or passport, for a citizen of Serbia and Montenegro, the birth certificate),
  • Statutes of the Business with certified signatures,
  • Bank receipt as proof of payment of the required business capital or the founders certified statement (e.g. EUR 500 for limited liability company),
  • Decision on the appointment of a company representative, if a representative was not appointed under the Statutes of the Business,
  • Representative’s certified signature,
  • Proof of payment of registration fee (e.g. CSD 3,600 for limited liability company)

 

The Agency for Business Registers will issue a registration certificate within a period of five days from the day of filing.

Step II

An application for an ID number must also be filed with the Republic Bureau of Statistics and a tax of CSD 1,270 is charged.

Step III

Upon receipt of the registration certificate, a request for a PIB (tax account) number must be filed with the Tax Authority.   It takes about 10 days for a PIB number to be issued.

Step IV

Following the receipt of the PIB number, the complete documentation must be submitted to a bank for the purpose of opening a current account.   Upon completion of this last step (usually within one day) the enterprise may begin to operate (provided its business activity does not require special permits).
